1. Definitions
In these Terms and Conditions:
- "Tidemark", "we", "us", "our" refers to Tidemark Financial Education, registered and operating in Singapore at 71 Robinson Road, #14-01, Singapore 068895.
- "Service" refers to the financial education programmes, materials, and associated resources offered by Tidemark.
- "Participant", "you", "your" refers to any individual who enrols in or enquires about a Tidemark programme.
- "Programme" refers to any structured course or session offered by Tidemark, including Understanding Your Financial Position, Demystifying Investments, and Architecting Your Financial Future.
- "Materials" refers to workbooks, templates, digital resources, and reference documents provided as part of a Programme.
- "Agreement" refers to these Terms and Conditions together with any enrolment confirmation issued by Tidemark.
2. Acceptance of Terms
By enquiring about, registering for, or participating in any Tidemark Programme, you agree to be bound by these Terms and Conditions. If you do not agree, please do not proceed with enrolment.
Our Programmes are available to individuals aged 18 and above who have the legal capacity to enter into a binding agreement under Singapore law.
3. Programme Description and Availability
Tidemark offers financial education Programmes conducted in Singapore. Programme content, duration, and format are described on our website and in the enrolment documentation provided to each Participant.
We reserve the right to modify programme content, scheduling, or format where reasonable notice is provided. Material changes affecting enrolled Participants will be communicated by email no less than 7 days in advance.
Programmes are subject to minimum enrolment numbers. In the event a cohort does not reach the required minimum, we will notify affected Participants and offer either a deferred start date or a full refund.
4. Enrolment and Payment
Enrolment is confirmed upon receipt of full payment or a written payment arrangement agreed with Tidemark. Enrolment fees are set out on our website and in your programme confirmation.
- All fees are denominated in Singapore Dollars (SGD).
- Payment methods accepted include bank transfer and major credit or debit cards.
- A confirmation email will be issued within 2 business days of successful payment.
Refund Policy:
- Cancellations made more than 14 days before the programme start date: full refund.
- Cancellations made 7–14 days before the start date: 50% refund.
- Cancellations made fewer than 7 days before the start date: no refund, but a transfer to a future cohort may be arranged at Tidemark's discretion.
- Where Tidemark cancels a programme, a full refund will be issued.
5. Participant Responsibilities
As a Participant, you agree to:
- Attend sessions punctually and engage in good faith with programme activities.
- Treat fellow Participants, educators, and Tidemark staff with respect.
- Not record sessions (audio or video) without explicit written consent from Tidemark.
- Not share programme Materials with third parties without Tidemark's written permission.
- Provide accurate personal information during enrolment and update Tidemark of any changes.
Tidemark reserves the right to remove a Participant from a programme for conduct that materially disrupts the learning environment or breaches these Terms. In such circumstances, no refund will be issued.
6. Intellectual Property
All Materials, session content, methodologies, and resources developed by Tidemark remain the intellectual property of Tidemark Financial Education. The following apply:
- Participants are granted a limited, personal, non-transferable licence to use Materials for their own financial education purposes.
- Materials may not be reproduced, distributed, sold, or used for commercial purposes without prior written consent from Tidemark.
- Any feedback, suggestions, or contributions made by Participants during sessions may be incorporated into future programme development at Tidemark's discretion.
7. Educational Nature of Programmes
Tidemark provides financial education, not regulated financial advice. Our Programmes are designed to improve participants' understanding of personal finance and investment concepts.
Nothing communicated during a Programme, in Materials, or on our website constitutes:
- Financial advice within the meaning of the Financial Advisers Act (Cap. 110) of Singapore;
- A recommendation to buy, hold, or sell any specific financial product or security;
- A representation that any particular financial outcome will be achieved.
Participants are encouraged to consult a licensed financial adviser before making financial decisions. Tidemark holds no responsibility for decisions made based on programme content.
8. Confidentiality
Financial or personal information shared by Participants during private consultation sessions will be treated as confidential and will not be disclosed to other Participants or third parties, except as required by law.
Participants are also expected to respect the confidentiality of information shared by other Participants during group sessions.
9. Disclaimers
To the extent permitted by applicable Singapore law:
- Tidemark Programmes are provided on an "as is" basis for educational purposes.
- We make no representation that completion of a Programme will result in any specific financial outcome.
- We do not warrant that programme content reflects the most current regulatory or market conditions at all times, though we endeavour to keep content current.
10. Limitation of Liability
Subject to applicable Singapore law, Tidemark's total liability to any Participant in connection with a Programme shall not exceed the fees paid by that Participant for the relevant Programme.
Tidemark shall not be liable for any indirect, consequential, or economic loss arising from participation in or reliance on our Programmes or Materials.
Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence.
11. Indemnification
You agree to indemnify and hold harmless Tidemark, its educators, and staff from any claims, losses, or expenses arising from your breach of these Terms, your conduct during a Programme, or any misuse of programme Materials.
12. Termination
You may withdraw from a Programme at any time, subject to the refund terms set out in Section 4. Tidemark may terminate enrolment with immediate effect where a Participant breaches these Terms. Rights and obligations that by their nature survive termination (including confidentiality and intellectual property provisions) shall continue to apply.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore.
Any dispute arising from or in connection with these Terms shall first be addressed through good-faith discussion between the parties. Where a resolution cannot be reached informally within 30 days, the dispute may be referred to mediation under the Singapore Mediation Centre's Mediation Procedure.
Where mediation is unsuccessful, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.
14. General Provisions
- Entire Agreement: These Terms, together with the programme enrolment confirmation, constitute the entire agreement between you and Tidemark regarding the Programme.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without Tidemark's written consent. Tidemark may assign its rights in connection with a business transfer.
- Notices: Formal notices should be sent by email to [email protected] or by post to our registered address.
15. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. For enrolled Participants, material changes will be communicated by email. Continued participation in a Programme following notification of changes constitutes acceptance of the updated Terms.
